1. Agreement to Terms

By accessing or using the website located at www.growthbuildersco.com, or by purchasing or using any services offered by Growth Builders ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our website or services.

2. Services

Growth Builders provides website design and rebuild services, customer acquisition system setup, marketing automation, and related digital marketing services for small businesses and contractors. The specific scope of services, deliverables, timelines, and fees for each engagement will be outlined in a separate Service Agreement or Statement of Work signed by both parties.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3. Fees and Payment

All fees are as agreed upon in your individual Service Agreement. A setup fee is due prior to the commencement of work. Monthly management fees are billed in advance on a recurring basis. All fees are non-refundable unless otherwise stated in your Service Agreement.

If payment is not received within 10 days of the due date, we reserve the right to suspend services until the outstanding balance is paid in full. Accounts past due by 30 days or more may be subject to a late fee of 1.5% per month on the outstanding balance.

4. Client Responsibilities

To enable us to deliver services effectively, you agree to provide timely access to necessary materials, accounts, login credentials, and information as reasonably requested. Delays caused by your failure to provide required information may affect project timelines and deliverables, and Growth Builders shall not be held responsible for such delays.

You represent and warrant that all content, materials, and information you provide to us are accurate, lawful, and do not infringe upon the intellectual property rights or other rights of any third party.

5. Intellectual Property

Upon receipt of full payment for the applicable services, Growth Builders grants you a non-exclusive, perpetual license to use the deliverables created specifically for your project. Growth Builders retains ownership of all underlying frameworks, tools, templates, methodologies, and proprietary systems used in the delivery of services.

Growth Builders reserves the right to display work completed for you in our portfolio and marketing materials unless you request otherwise in writing prior to project commencement.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Growth Builders shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business, or loss of data, arising out of or in connection with your use of our services or website, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to Growth Builders in the three (3) months immediately preceding the event giving rise to the claim.

8. Disclaimer of Warranties

Our services and website are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.

We do not guarantee specific results from our marketing or customer acquisition services. Results depend on many factors outside our control, including but not limited to market conditions, your industry, your geographic location, and your responsiveness to leads.

9. Termination

Either party may terminate a service engagement by providing 30 days' written notice. Upon termination, you remain responsible for all fees accrued up to the termination date. Growth Builders will provide you with reasonable access to your data and deliverables upon request within 30 days of termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Lincoln County, Oregon.

11. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of our services after such changes constitutes your acceptance of the updated Terms.
